By accessing and using this website, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service govern your use of the D&D Property Management website at ddpropertymanagement.ca and the property management consulting services we provide. D&D Property Management coordinates a network of five specialized subsidiary companies operating across Waterloo Region, Ontario.

Services

D&D Property Management provides property management consulting, condo board support, vendor management, reserve fund planning, service coordination, and property assessments. Specific services are defined in individual service agreements. All services are subject to availability and written confirmation.

Use License

Permission is granted to temporarily download one copy of the materials (information or software) on D&D Property Management's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to decompile or reverse engineer any software contained on the website
• Remove any copyright or other proprietary notations from the materials
• Transmit the materials to any other person or "mirror" the materials on any other server

Quotes & Pricing

Free consultations and assessments provided through our website or by phone are based on the information you provide. Final pricing may vary upon on-site assessment and the scope of services required. We will inform you of any pricing changes before commencing work. Quotes are valid for 30 days from the date of issue.

Disclaimer

The materials on D&D Property Management's website are provided on an 'as is' basis. D&D Property Management makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Our website may contain links to third-party websites, including our subsidiary company websites. We are not responsible for the content or practices of those sites.

Limitations

In no event shall D&D Property Management or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on D&D Property Management's website.

Payment

Payment for services is due upon completion unless otherwise specified in a written service agreement. We accept major credit cards, e-transfer, and cheques from registered businesses. Invoices unpaid after 30 days may be subject to interest charges at the rate of 1.5% per month (18% per annum). Returned payments may result in additional fees.

Cancellation & Rescheduling

We request at least 48 hours advance notice for cancellation or rescheduling of scheduled consultations or on-site assessments. For ongoing managed service contracts, cancellation terms are defined in the individual service agreement. We reserve the right to reschedule due to unforeseen circumstances with appropriate notice to the client.

Accuracy of Materials

The materials appearing on D&D Property Management's website could include technical, typographical, or photographic errors. D&D Property Management does not warrant that any of the materials on its website are accurate, complete, or current.

Intellectual Property

All content on this website, including text, images, logos, graphics, and design, is the property of D&D Property Management and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or use our content without prior written permission, except for personal, non-commercial use.

Privacy

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these terms by reference. By engaging our services, you acknowledge and accept the terms of our Privacy Policy.

Service Scope & Network

D&D Property Management coordinates a network of five specialized subsidiary companies. Services delivered through our network may be subject to individual service agreements with the applicable subsidiary company. By requesting coordinated services, you acknowledge that your information may be shared with the relevant subsidiary to fulfil your service request.

Services provided by subsidiary companies — including D&D Home Services, D&D Commercial Services, D&D Exterior Finishing, D&D Interior Services, and D&D Snow Services — are subject to the individual terms and service agreements of those companies, in addition to these terms.

Force Majeure

D&D Property Management shall not be liable for any failure or delay in performing obligations under these terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to severe weather conditions, natural disasters, power outages, government orders, labour disputes, or supply chain disruptions. In such cases, we will notify you as soon as reasonably practicable and make reasonable efforts to resume services.

Waiver & Severability

Our failure to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision. If any provision of these terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any written service agreements, constitute the entire agreement between you and D&D Property Management with respect to your use of our website and services, and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. D&D Property Management may assign its rights and obligations under these terms without restriction, including in connection with a merger, acquisition, or sale of assets, subject to applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless D&D Property Management and its officers, directors, employees, agents, licensors, and service providers from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your use of our website or services, your violation of these terms, or your violation of any rights of another party.

Limitation of Liability

To the fullest extent permitted by applicable law, D&D Property Management and its officers, directors, employees, agents, and subsidiaries shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or anticipated savings
• Loss of data or business information
• Loss of goodwill or business opportunity
• Damages arising from reliance on information provided on our website

In any case, our total liability to you for any claims arising under or in connection with these terms shall not exceed the amount paid by you to D&D Property Management in the three (3) months preceding the event giving rise to the claim, or CAD $500, whichever is greater.

Nothing in these terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Dispute Resolution

We encourage you to contact us first to resolve any disputes informally. If a dispute cannot be resolved through direct negotiation within 30 days, the parties agree to attempt resolution through mediation before pursuing formal legal proceedings.

• Step 1 — Direct Contact: Email info@ddpropertymanagement.ca describing your concern. We will respond within 5 business days.
• Step 2 — Mediation: If unresolved, either party may request voluntary mediation through a mutually agreed mediator in Kitchener-Waterloo, Ontario.
• Step 3 — Legal Proceedings: If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Ontario.

This dispute resolution process does not limit either party's right to seek urgent injunctive or equitable relief from a court of competent jurisdiction.

Amendments

D&D Property Management reserves the right to amend, update, or replace these Terms of Service at any time without prior notice. Changes take effect immediately upon posting to this page. The "Last Updated" date will reflect the most recent revision.

Your continued use of our website or services after any amendments constitutes your acceptance of the revised terms. We recommend reviewing this page periodically. If you do not agree to the updated terms, please discontinue use of our website and services.

Material changes to these terms that affect your legal rights will be communicated via a prominent notice on our website homepage for a period of not less than 30 days.

Severability & Entire Agreement

If any provision of these terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These terms, together with our Privacy Policy, constitute the entire agreement between you and D&D Property Management regarding your use of our website and services.
